Indemnification

You agree to indemnify and hold each officer and/or employee of wynEnterprise, its parent companies, subsidiaries and affiliates, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of wynEnterprise's site, the violation of these Terms and Conditions by you, or the infringement by you, or any other user of your account, of any intellectual property or other right of any person or entity.

Applicable Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflicts of laws provisions thereof. The sole jurisdiction and venue for actions related to the subject matter hereof shall be Delaware State and U.S. Federal courts sitting in the State of Delaware or, the Delaware State and U.S. Federal courts having within their jurisdiction the location of wynEnterprise's principal place of business. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys' fees.

Remedies for Breach of these Terms by You

In the event that wynEnterprise determines, at its sole discretion, that you have breached any portion of these Terms and Conditions, or have otherwise demonstrated conduct inappropriate for the community of wynEnterprise's site, wynEnterprise reserves the right to (i) warn you via e-mail that you have violated these Terms and Conditions; (ii) delete any content provided by you or your agent(s) to wynEnterprise's site, (iii) delete all content provided by you to wynEnterprise's site, (iv) discontinue your registration with wynEnterprise's site and/or any other wynEnterprise community; (v) notify and/or send content to and/or fully cooperate with the proper law enforcement authorities for further action; and/or (vi) any other action that wynEnterprise deems appropriate.

Miscellaneous information

wynEnterprise may assign, without notice, its rights and obligations under these Terms and Conditions and upon such assignment, wynEnterprise may be relieved of any further obligation hereunder.
You represent to wynEnterprise that you have the authority to register with wynEnterprise's site according to these Terms and Conditions. These Terms and Conditions and any Additional Terms (as such terms shall be identified when posted on wynEnterprise's site by wynEnterprise) constitute the entire understanding between the parties as to the subject matter herein and supersede all prior agreements and understandings.
